C. 20554 Released: May 26 , 2000 DA 00- 1181 COMMON CARRIER BUREAU AND INTERNATIONAL BUREAU GRANT CONSENT FOR TRANSFER OF CONTROL OF AUTHORIZATIONS HELD BY FORT BEND LONG DISTANCE COMPANY TO TXU ENERGY INDUSTRIES COMPANY Pursuant to section 214 of the Communications Act of 1934, as amended, 47 U. S. C. § 214, and sections 0.261 and 0.291 of the Commission's rules, 47 C. F. R. §§ 0.261, 0.291, the Common Carrier Bureau and the International Bureau approve the applications 1 requesting Commission consent to transfer control of domestic and international Section 214 authorizations held by Fort Bend Long Distance Company (“ FBLD”) to TXU Energy Industries Company (“ TXU Energy”). The applications filed pertain to authorizations for international and domestic interexchange services. FBLD is an authorized common carrier holding an international section 214 authorization. 2 No comments or petitions to deny were received in response to the public notice announcing that the applications had been accepted for filing. 3 The transfer of control of the licensee was sought due to a proposed merger between Texas Utilities Company (“ TXU Corp.”), the parent corporation of TXU Energy and Fort Bend Communications Companies (“ FBCC”), the parent company of FBLD. Under the merger agreement, as amended, FBLD will become a wholly- owned subsidiary of TXU Energy, through FBCC. Control of FBLD will reside with TXU Energy. The Bureaus find that the proposed transfer will serve the public interest, convenience, and necessity, and therefore grant applicants authorization to transfer control of the domestic and international Section 214 authorizations held by FBLD to TXU Energy. Pursuant to section 1.103 of the Commission's rules, 47 C. F. R. § 1.103, the consent granted herein is effective upon release of this Public Notice. Petitions for reconsideration under section 1.106 or applications for review under section 1.115 of the Commission’s rules, 47 C. F. R. §§ 1.106, 1.115, may be filed within 30 days of the date of this Public Notice.
