S. C. §§ 214, 310( d), and sections 0.261, 0.291 and 0.331 of the Commission's rules, 47 C. F. R. §§ 0.261, 0.291 and 0.331, the Common Carrier Bureau, the Wireless Telecommunications Bureau and the International Bureau approve the applications requesting Commission consent to transfer control of certain licenses and authorizations held by TXU Communications Telecom Services Company (TCTSC) and Fort Bend Long Distance Company (FBLD) to TXU Communications Ventures Company (TCVC). The applications filed pertain to authorizations for international 1 and domestic interexchange services and commercial wireless services. 2 No comments or petitions to deny were received in response to the public notices announcing that the applications had been accepted for filing. 3 Pursuant to the proposed transactions, TCTSC (a wholly- owned subsidiary of TXU Energy Industries Company) and FBLD (a wholly- owned subsidiary of TXU Energy Industries Company through Fort Bend Communications Company) would become wholly- owned subsidiaries of TCVC, which would in turn be wholly owned by Pinnacle One Partners, L. P. TXU Communications (a wholly- owned subsidiary of TXU Energy Industries Company) and Zenith Telecom Trust (a special purpose business trust created under the laws of the state of Delaware) would each own half of Pinnacle One GP, the sole general partner of the proposed Pinnacle One Partners entity. The Bureaus find that the proposed transfer will serve the public interest, convenience, and necessity, and therefore grant authorization to transfer control of these licenses and authorizations to TCVC. 1 See FCC File Nos.
