SEEK FCC CONSENT TO TRANSFER CONTROL OF WESTERN TELE-COMMUNICATIONS, INC. CC Docket No. 01- 98 AT& T Broadband, LLC, (AT& T) and Corban Communications, Inc. (Corban) filed a joint application pursuant to section 214 of the Communications Act of 1934, as amended, 47 U. S. C. § 214, requesting Commission approval for the transfer of control of Western Tele-communications, Inc. (WTCI), which is authorized by the FCC to operate as a non- dominant domestic carrier providing interstate telecommunications services. WTCI operates a common carrier optical fiber transmission network used for interstate interexchange services. AT& T and Corban have entered into a Stock Purchase Agreement dated March 20, 2001, but effective as of February 1, 2001, whereby AT& T, which currently is the owner of all of the issued and outstanding shares of capital stock of WTCI, will sell all of said shares to Corban. AT& T is a wholly- owned subsidiary of AT& T Corp., a Delaware corporation. AT& T’s principal office and place of business is at 188 Inverness Drive West, Englewood, Colorado 80112. Corban is a corporation organized under the laws of the state of Texas. Corban’s principal office and place of business is located at 901 Jupiter Road, Suite 200, Plano, Texas 75074. SECTION 214 APPLICATION Part 63- Domestic Service (47 C. F. R. § 63.01) AT& T and Corban have filed a joint application pursuant to Section 214, requesting Commission approval for a proposed acquisition of corporation control of WTCI, a communications common carrier that is authorized to provide domestic, interstate services. 1 2 GENERAL INFORMATION The transfer of control request listed herein has been found, upon initial review, to be acceptable for filing. The Commission reserves the right to return any application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules or policies. Final action will not be taken on this application earlier than 30 days following the date of this notice. See 47 C. F. R.§ 63.52( b). Any interested party may file a petition to deny on or before May 23, 2001. See 47 C. F. R. § 63. 52( c). All filings concerning any or all of the matters referenced in this Public Notice should refer to Docket Number 01- 98.
