S. C. § 310( d), seeking Commission approval for the assignment to Cellco of licenses in the Cellular Radiotelephone and Fixed Microwave services. 1 The proposed transaction involves several steps, all of which would occur at the closing. First, the licenses would be pro forma assigned through PCC- controlled intermediate subsidiaries to Price Communications Wireless, Inc. (“ PCW”), a wholly owned subsidiary of PCC. Second, PCW would assign the licenses to Cellco in return for a partnership interest in Cellco.
