AS PART OF PRO FORMA TRANSFER OF CORPORATE CONTROL PLEADING CYCLE ESTABLISHED CC Docket No. 01- 312 On October 12, 2001, Southwestern Bell Telephone Company (“ SBTC” or “Applicant”) filed a pro forma application requesting authority pursuant to section 214 of the Communications Act of 1934, as amended (“ the Act”), 47 U. S. C. § 214, and section 63.01 of the Commission’s Rules, 47 C. F. R. § 63.01, to Southwestern Bell Telephone L. P. SBTC (Transferor) is a corporation organized and existing under the laws of the State of Missouri and is wholly owned by SBC Communications, Inc. Southwestern Bell Telephone, L. P. (Transferee) will be a Texas Limited Partnership. Two partners will form Southwestern Bell Telephone L. P. SWBT Texas, LLC will be a general partner controlling 1% of the partnership. Southwestern Bell Texas Holdings, Inc will be a limited partner controlling 99% of the partnership. SBC Communications, Inc. (Parent) is a corporation organized and existing under the laws of the State of Delaware. No entity owns ten percent or more of the equity in SBC Communications Inc. Southwestern Bell Texas Holdings, Inc. will be a corporation organized and existing under the laws of the State of Delaware. Southwestern Bell Texas Holdings, Inc. will be wholly owned by SBC Communications, Inc. Southwestern Bell Texas, Inc. will be a corporation formed and existing under the laws of the State of Texas. Southwestern Bell Texas, Inc. will be wholly owned by Southwestern Bell Texas Holdings, Inc. 1 2 SWBT Texas, LLC will be a limited liability corporation formed and existing under the laws of the State of Delaware. SBC Communications, Inc. will create the wholly owned subsidiary Southwestern Bell Texas Holdings, Inc. Southwestern Bell Texas Holdings, Inc. will then create the wholly owned subsidiary SWBT Texas, LLC and Southwestern Bell Texas, Inc. SBTC will merge with Southwestern Bell Texas, Inc. with the surviving entity being Southwestern Bell Texas, Inc. Southwestern Bell Texas, Inc. will then be converted into a Texas Limited Partnership and renamed Southwestern Bell Telephone L. P. SWBT Texas, LLC will be a general partner of Southwestern Bell Telephone, L. P., controlling 1% of the partnership. Southwestern Bell Texas Holdings, Inc. will be a limited partner, controlling 99% of the partnership. SBTC provides local exchange services, intrastate toll services and advanced telecommunications services in Texas, Oklahoma, Kansas, Arkansas and Missouri. SBTC provides domestic long distance service in Texas, Oklahoma and Kansas. The restructuring of the company will not affect the services offered. Therefore, Southwestern Bell Telephone, L. P. will provide identical services to the same locations after the completed transaction. DOMESTIC SECTION 214 APPLICATION Part 63 – Domestic Service (47 C. F. R. § 63.01) Southwestern Bell Telephone Company requests permission to transfer domestic section 214 authorization to Southwestern Bell Telephone L. P. GENERAL INFORMATION The transfer of control requests identified herein have been found, upon initial review, to be acceptable for filing. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies.
