CC Docket No. 01- 275 Pursuant to section 214 of the Communications Act of 1934, as amended, 47 U. S. C. § 214, and section 0.291 of the Commission’s rules, 47 C. F. R. § 0.291, the Common Carrier Bureau approves the application requesting Commission approval for the pro forma transfer of corporate control of the domestic section 214 authorization of Comcast Business Communications, Inc. (CBC) to Comcast Business Communications Holdings, Inc. (Comcast Holdings). 1 Under the terms of the proposed transaction, CBC’s stock will be transferred to Comcast Holdings, an indirect subsidiary of Comcast Corporation (Comcast), which will then become the immediate parent of CBC. According to CBC, this change is pro forma because the ultimate parent of CBC is, and will remain, Comcast. 2 No comments or petitions to deny were received in response to the public notice announcing that the application had been accepted for filing. 3 The Bureau finds, upon consideration of the record, that the proposed transfer will serve the public interest, convenience, and necessity, and therefore grants the requested authorization. 1 See Application for Authority Under Section 214 of the Communications Act of 1924, as Amended, for Pro Forma Transfer of Control of a Common Carrier Providing Domestic Interstate Service, CC Docket No. 01- 275 (filed Sept. 13, 2001) (Comcast Application).
