S. C. § 214, and sections 0.91, 0.291, and 63.01 of the Commission’s rules, 47 C. F. R. §§ 0.91, 0.291, and 63.01, the Common Carrier Bureau (Bureau) approves the application requesting consent for Southwestern Bell Telephone Company (“ SBTC”) to engage in a pro forma transfer of corporate control. The requested authorization is related to a corporate reorganization by which SBC Communications, Inc. will create the wholly owned subsidiary Southwestern Bell Texas Holdings, Inc. Southwestern Bell Texas Holdings, Inc. will then create the wholly owned subsidiaries SWBT Texas, LLC and Southwestern Bell Texas, Inc., SBTC will merge with Southwestern Bell Texas, Inc. with the surviving entity being Southwestern Bell Texas, Inc. Southwestern Bell Texas, Inc. will then be converted into a Texas limited partnership and renamed Southwestern Bell Telephone L. P. SWBT Texas, LLC will be a general partner of Southwestern Bell Telephone, L. P., controlling 1% of the partnership. Southwestern Bell Texas Holdings, Inc. will be a limited partner controlling 99% of the partnership. 1 SBTC provides local exchange services, intrastate toll services, advanced telecommunications services, and domestic long distance service in Texas, Oklahoma, Kansas, Arkansas and Missouri. This transaction will result in these services being provided by Southwestern Bell Telephone, L. P., a Texas limited partnership, rather than by SBTC, a Missouri corporation.
