(“ Advantage”), Sonya Bly (“ Transferor”) and Robert Sorrentino (“ Transferee”) (collectively referred to as “Applicants”), filed an application, pursuant to sections 63.03 and 63.04 of the Commission’s rules, 1 seeking authority to transfer control of Advantage Telecommunications Corp. from Sonya Bly to Robert Sorrentino. Advantage holds authority to provide domestic and international telecommunications services pursuant to section 214 of the Act. 2 Applicants assert that this transaction is entitled to presumptive streamlined treatment under section 63.03( b)( 2)( i) of the Commission’s rules because this proposed transaction would result in the transferee (and its affiliates) having a market share in the interstate interexchange market of less than 10 percent, the transferee will continue to provide competitive telephone exchange services or exchange access services (if at all) exclusively in geographic areas served by a dominant local exchange carrier that is not a party to this transaction and neither party is dominant with respect to U. Applicants are also filing applications for transfer of control associated with authorization for international services. Any action on this domestic 214 application is without prejudice to Commission action on other related, pending applications. 3 47 C. F. R. § 63.03( b)( 2)( i). 1 2 Advantage is a Delaware corporation. Advantage is a provider of interstate, international and intrastate interexchange telecommunications services. 4 Advantage is wholly- owned by Sonya Bly, a U. S. citizen and a resident of Florida. Robert Sorrentino is a U. S. citizen and resident of New Jersey. Sorrentino wholly- owns Dominion Business Group, Inc., which in turn is the sole owner of Reduced Rate Long Distance, LLC (RRLD). RRLD provides voice long distance service on an intrastate, interstate, and international basis. 5 The Agreement provides that Robert Sorrentino will purchase all of the issued and outstanding common stock of Advantage from Sonya Bly. The Acquisition will therefore result in the change of ownership of Advantage from Sonya Bly to Robert Sorrentino, including all of Advantage’s section 214 authorities. After consummation of the proposed transaction, Robert Sorrentino will own 100% of the equity interest in Advantage. Applicants state that the proposed transaction serves the public interest, convenience and necessity. The Applicants assert the proposed transaction would strengthen Advantage, as the post- transaction company will become a stronger competitor in the marketplace for interstate and international telecommunications services. The customers of Advantage will benefit from Robert Sorrentino’s resources and assets, which will help ensure continuity of service and enhance the ability of Advantage to offer a broader range of innovative products and services to customers. GENERAL INFORMATION The transfer of control identified herein has been found, upon initial review, to be acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to sections 1.415 and 1.419 of the Commission’s rules, 47 CFR §§ 1.415, 1.419, interested parties may file comments on or before February 17, 2006 and reply comments on or before February 24, 2006. 6 Unless otherwise notified by the Commission, Applicants are permitted to transfer the assets and related control on the 31 st day after the date of this notice. 7 Comments may be filed 4 See Letter from Benjamin W.
