(“National Grid Wireless”) to WGN Acquisition LLC (“WGN,” together with National Grid Wireless, “Applicants”).1 National Grid Wireless, a Massachusetts corporation, wholly owns both Grid Com, a Massachusetts corporation that provides telecommunications services to wireless service providers in the Northeast United States and NEES Communications, Inc., a Massachusetts corporation that is certified to provide competitive local exchange and other telecommunications services in New York. National Grid Wireless does not provide domestic telecommunications services and is ultimately owned by National Grid plc, an energy company incorporated under the laws of England and Wales.2 WGN, a Delaware limited liability company, was formed for the purpose of acquiring National Grid Wireless and does not provide domestic telecommunications services. Applicants state that the instant application to transfer control of National Grid Wireless to WGN is not a part of the KeySpan transaction. They state that WGN received an option to purchase certain KeySpan assets should the Commission approve the KeySpan transaction, and that, if the application is approved, WGN may seek authority to acquire the assets, but has not yet made a decision about whether to do so. 2 entities own 10 percent or more of WGN: Wachovia Capital Partners 2007, LLC and M/C Ventures Partners VI, L.P. Applicants state that several of M/C Ventures VI, L.P.’s affiliated entities hold interests in telecommunications carriers that provide competitive service in multiple states. They further state that neither Wachovia Capital Partners 2007, LLC nor its affiliates hold a 10 percent or greater interest in other telecommunications carriers. The Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(2)(i) of the Commission’s rules3 and that a grant of the application will serve the public interest, convenience, and necessity. GENERAL INFORMATION The transfer of control identified herein has been found, upon initial review, to be acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 CFR § 63.03(a), interested parties may file comments on or before July 10, 2007 and reply comments on or before July 17, 2007.4 Unless otherwise notified by the Commission, Applicants are permitted to transfer control on the 31st day after the date of this notice.5 Comments may be filed using: (1) the Commission’s Electronic Comment Filing System (ECFS), (2) the Federal Government’s eRulemaking Portal, or (3) by filing paper copies.
