STREAMLINED PLEADING CYCLE ESTABLISHED WC Docket No. 07-159 Comments Due: August 13, 2007 Reply Comments Due: August 20, 2007 The following application was filed pursuant to section 63.03 of the Commission’s rules requesting authority to transfer control of the domestic section 214 authorization held by Indiana Fiber Works LLC (“IFW”) from General Electric Capital Corporation (“GE”) to CII Holdco, Inc. (“CII”) (collectively, “Applicants”). IFW, a New York limited liability company, is a wholly owned subsidiary of GE and provides interstate telecommunications services in Indiana and interstate dark fiber services in Illinois, Indiana, and Ohio. CII is a Delaware corporation that does not provide telecommunications service and is wholly owned by Communications Infrastructure Investments, LLC, a Delaware limited liability company. Applicants state that both CII and Communications Infrastructure Investments, LLC were organized to acquire and support telecommunications services entities and that they recently acquired PPL Telcom, LLC and PPL Prism, LLC, which are authorized to provide competitive local exchange and/or interexchange services in the District of Columbia, Maryland, New Jersey, New York, Pennsylvania, and Virginia. The following U.S.-based entities own 10 percent or more of Communications Infrastructure Investments, LLC: Oak Investment Partners XII, Limited Partnership, Oak Associates XII, LLC, M/C Venture Partners VI, L.P., M/C VP VI, L.P., M/C Venture Partners, LLC, Columbia Capital Equity Partners IV (QP), L.P., Columbia Capital IV, LLC, Battery Ventures VII, L.P., and Battery Partners VII, LLC. Applicants state that the M/C Venture entities and the Columbia Capital entities have interests in telecommunications carriers that provide competitive wireline and wireless services in multiple states. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(2)(i) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.1 1 47 C.F.R. § 63.03(b)(2)(i). Applicants are also filing applications for transfer of control associated with authorization for international services. GENERAL INFORMATION The transfer of control identified herein has been found, upon initial review, to be acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies.
