STREAMLINED PLEADING CYCLE ESTABLISHED WC Docket No. 07-247 Comments Due: November 27, 2007 Reply Comments Due: December 4, 2007 The following applications were filed pursuant to section 63.03 of the Commission’s rules requesting authority to transfer control of TelAlaska, Incorporated (TelAlaska) and its wholly owned subsidiaries, TelAlaska Long Distance, Inc. (TelAlaska Long Distance), Mukluk Telephone Company, Inc. (Mukluk), and Interior Telephone Company, Inc. (Interior), to TelAlaska Holdings, Inc. (TelAlaska Holdings) (together, Applicants).1 TelAlaska does not hold any certifications to provide telecommunications services. TelAlaska Long Distance provides interexchange service throughout Alaska. Mukluk and Interior are incumbent local exchange carriers (LECs) serving multiple rural communities in Alaska. TelAlaska Holdings is a wholly-owned subsidiary of ABAC Alaska, Inc., which is in turn a wholly-owned subsidiary of American Broadband Communications, LLC (American Broadband). American Broadband owns multiple rural incumbent LECs serving several states.2 Patrick L. Eudy, a U.S. citizen, has a 95.12 percent equity interest in American Broadband. All of the above entities are U.S.-based. 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicants are also filing applications for transfer of control associated with authorization for international services. Any action on these domestic section 214 applications is without prejudice to Commission action on other related, pending applications. Applicants filed supplements to their domestic section 214 applications on November 12, 2007. 2 American Broadband, through its subsidiaries and affiliates, controls the following companies, none of which provide incumbent LEC service in Alaska: Arlington Telephone Company; Dalton Telephone Company; Elsie Communications, Inc.; Eastern Nebraska Telephone Company; Georgetown Telephone Company; Gridley Telephone Company; Oregon Farmers Mutual Telephone Company; The Pymatuning Independent Telephone Company; Rock County Telephone Company; S&A Telephone Company; South Park LLC; The Blair Telephone Company; The Rye Telephone Company; and Waverly Hall Telephone, LLC. 2 Applicants assert that the proposed transactions are entitled to presumptive streamlined treatment under sections 63.03(b)(2)(ii) and 63.03(b)(2)(iii) of the Commission’s rules and that a grant of the applications will serve the public interest, convenience, and necessity.3 Domestic Section 214 Applications Filed for the Transfer of Control of TelAlaska, Incorporated, TelAlaska Long Distance, Inc., Mukluk Telephone Company, Inc. and Interior Telephone Company, Inc. to TelAlaska Holdings, Inc., WC Docket No. 07-247 (filed Oct. 30, 2007). GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before November 27, 2007, and reply comments on or before December 4, 2007. Unless otherwise notified by the Commission, the Applicants may transfer control on the 31st day after the date of this notice.4 Comments must be filed electronically using (1) the Commission’s Electronic Comment Filing System (ECFS) or (2) the Federal Government’s eRulemaking Portal.
