(PCS) and AGM Telecom Corporation (AGM) (collectively, Applicants), filed an application pursuant to section 63.03 of the Commission’s rules requesting approval to transfer of control of AGM’s blanket domestic resale authority from AGM to PCS.1 AGM, a New Jersey corporation, is authorized to provide inmate operator services in the following states: Alabama, Arkansas, Georgia, Idaho, Iowa, Louisiana, Maine, Minnesota, Montana, New Hampshire, New Jersey, North Dakota, Ohio, Oklahoma, Oregon, Texas, Washington, and Wisconsin. PCS, a California corporation, is authorized to provide inmate operator services nationwide with the exception of the following states: Alaska, Connecticut, Hawaii, Louisiana, Minnesota, North Carolina, Rhode Island, West Virginia, and Wyoming. The following U.S. citizens directly own (10%) percent or more of the equity in PCS; Paul Jennings, and Joseph Fryzer. The following U.S. citizens directly own (10%) percent or more of the equity in AGM; Henry Chang, George McNitt, and Chriss McNitt. As a result of the proposed transaction, AGM will become a wholly-owned subsidiary of PCS. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before July 25, 2008, and reply comments on or before August 1, 2008.
