FROM QUADRANGLE CAPITAL PARTNERS LP TO LIGHT TOWER HOLDINGS LLC STREAMLINED PLEADING CYCLE ESTABLISHED WC Docket No. 07-299 Comments Due: February 8, 2008 Reply Comments Due: February 15, 2008 Pursuant to section 63.03 of the Commission’s rules, Quadrangle Capital Partners LP (Quadrangle) and Light Tower Holdings LLC (Light Tower) (collectively, Applicants) request consent to transfer control of DataNet Communications Group, Inc. (DCG) from Quadrangle to Light Tower.1 Quadrangle, a Delaware limited partnership, is a private investment partnership that owns shares in DCG. Quadrangle is not itself a telecommunications carrier. DCG provides competitive telecommunications services in Connecticut, New York, and New Jersey through its wholly owned U.S-based subsidiaries, Connecticut DataNet LLC, Hudson Valley DataNet LLC, and New Jersey DataNet Telecom LLC. Light Tower, a Delaware limited liability company, and its subsidiaries are licensed to provide competitive telecommunications services primarily to wireless carriers in 29 states and the District of Columbia. The following U.S.-based entities own 10 percent or more of the equity of Light Tower: WCP Fund II, L.P., a Delaware limited partnership (42.44 percent),2 and M/C Venture Partners VI, L.P. (41.16 percent), also a Delaware limited partnership.3 Applicants propose to merge DCG with a newly formed, wholly owned subsidiary of Light Tower, with DCG as the surviving entity. They further state that, outside of a change in ultimate ownership, the corporate structure of DCG and its affiliates will remain intact. Applicants assert that the proposed transaction is entitled to presumptive streamlined 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicants filed a supplement to their application on January 24, 2008. 2 Applicants state that the general partner of WCP Fund II, L.P. is Wachovia Investors, Inc., a North Carolina corporation, owned by Wachovia Corp., also a North Carolina corporation. Applicants state that no entity holds a 10 percent or greater interest in Wachovia Corp, and that none of these entities hold a 10 percent or greater interest in other telecommunications providers. 3 Applicants state that the general partner of M/C Venture Partners, VI, L.P. is M/C VP VI, L.P. and that the general partner of that entity is M/C Venture Partners, LLC, both Delaware entities. They further state that James F. Wade and John W. Watkins, both U.S. citizens, each control 10 percent or more of the equity interests in M/C Venture Partners, LLC. The M/C Venture entities and their affiliates have a 10 percent or greater ownership interest in several U.S.-based wireline and wireless telecommunications carriers that provide service in multiple states. 2 treatment under section 63.03(b)(2)(i) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.4 Domestic Section 214 Application Filed for the Transfer of Control of DataNet Communications Group Inc. from Quadrangle Capital Partners LP to Light Tower Holdings LLC, WC Docket No. 07-299 (filed Dec. 17, 2007). GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before February 8, 2008, and reply comments on or before February 15, 2008.
