Smith & Group, LLC (Smith, LLC) (collectively, Applicants) filed an application pursuant to section 63.03 of the Commission’s rules to transfer control of Inmate Calling Solutions, LLC d/b/a ICSolutions (ICS) from TBR to Smith.1 ICS, a California limited liability company, provides inmate calling services to correctional facilities in 34 states. ICS is an operating subsidiary of TBR, a California corporation that provides billing support functions. Smith, a Texas limited liability corporation, was formed for the purpose of acquiring ICS. Applicants state that Michael R. Smith, a U.S. citizen, owns 100 percent of the equity of Smith, LLC. They further state that Michael R. Smith is a shareholder in Value-Added Communications, Inc. that provides inmate calling services in the U.S. Applicants state that TBR filed for protection under Chapter 11 of the U.S. bankruptcy laws, and that, on September 4, 2008, the bankruptcy court approved the sale of substantially all of its assets, including its operating subsidiary, ICS, to Smith, LLC, subject to all required regulatory approvals. Pursuant to the terms of the proposed transaction, Smith, LLC will purchase 100 percent of ICS with no change in the day-to-day operations of ICS. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(2)(i) of the Commission’s rules and that a grant of this application will serve the public interest, convenience, and necessity.2 Application Filed for the Transfer of Control of Inmate Calling Solutions, LLC d/b/a ICSolutions from The Billing Resource f/k/a Integretel, Incorporated to Michael R. Any action on this domestic section 214 application is without prejudice to Commission action on other related, pending applications. Applicants filed an amendment to their domestic section 214 application on October 7, 2008. 2 47 C.F.R. § 63.03(b)(2)(i). 2 GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before October 24, 2008, and reply comments on or before October 31, 2008. Unless otherwise notified by the Commission, the Applicants may transfer control on the 31st day after the date of this notice.3 Comments must be filed electronically using (1) the Commission’s Electronic Comment Filing System (ECFS) or (2) the Federal Government’s eRulemaking Portal.
