Insight, also a Delaware limited liability company, is an indirect, wholly owned subsidiary of Insight Enterprises, Inc., a publicly traded Delaware corporation that provides IT products and services. Applicants state that Insight does not provide telecommunications services and that it does not have any subsidiaries or affiliates that provide telecommunications services. Applicants further state that Insight Enterprises, Inc. does not have any 10 percent or greater shareholders. Pursuant to the terms of the proposed transaction, Insight Enterprises, Inc. will acquire 100 percent of the membership interests of Calence. Calence will be the surviving company. Applicants assert that a grant of the application will serve the public interest, convenience, and necessity. The proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(1)(ii) of the Commission’s rules because Insight, the transferee, is not a telecommunications provider.2 Domestic Section 214 Application Filed for the Transfer of Control of Calence, LLC to Insight Networking Services, LLC, WC Docket No. 08-16 (filed Feb. 4, 2008). GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicants are also filing applications for transfer of control associated with authorization for international services. Any action on this domestic section 214 application is without prejudice to Commission action on other related, pending applications. 2 47 C.F.R. § 63.03(b)(1)(ii). 2 section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before February 20, 2008, and reply comments on or before February 27, 2008.
