(Sprint), and American Warriors Networks, LLC (AWN, collectively “Joint Applicants”), request consent to transfer control of Sprint’s UNE-P–based local service residential and business customers to AWN.1 Sprint, a Delaware limited partnership, is the long distance and competitive local exchange carrier affiliate of Sprint Nextel Corporation (Sprint Nextel). Sprint provides intrastate interexchange and interstate interexchange telecommunications services and is authorized to provide competitive local exchange services in all states with the exception of Alaska and Maine. Sprint is a wholly owned subsidiary of Sprint Nextel. Sprint Nextel, a Kansas Corporation, is a holding company organized for the purpose of engaging in telecommunications and related businesses through its subsidiaries and is publicly traded. No person or corporate entity holds more than a 10 percent share of Sprint Nextel. AWN, a Delaware limited liability company, is authorized to provide competitive local exchange, intrastate interexchange services in Colorado, but has not yet commenced commercial service. AWN is wholly owned by Strategic Broadband Partners, LLC (SBP), a Delaware limited liability company. SBP is owned by the following Florida corporations: MisSuzy Corp. (MisSuzy) (81%); and TVE Corp. (TVE) (13.5%). MisSuzy is wholly owned by Randall M. and Suzanne Spillers, both U.S. citizens. TVE Corp is wholly owned by Timothy and Vicki Evard, both U.S. citizens. Sprint and AWN have entered into an agreement whereby AWN will acquire Sprint’s local service residential customers being served under an existing contract between Sprint and Army Air Force Exchange Services (AAFES). The customers being transferred are all located on military installations, and therefore can only receive local service from an exclusive vendor under contract to AAFES. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(2)(i) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.2 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before April 10, 2008, and reply comments on or before April 17, 2008.
