CTA is wholly owned by CenturyTel, Inc., a publicly traded company organized in Louisiana that provides mostly incumbent local exchange services in 25 states. CBET, an Ohio limited liability corporation, is a competitive local exchange and long distance telecommunications provider that serves Greater Dayton, Mason, Oxford, and Lebanon, Ohio. CBET is a wholly owned subsidiary of the publicly traded Cincinnati Bell Telephone Company (CBT) that provides incumbent local exchange services in Cincinnati, Ohio. Applicants state that CBT’s incumbent service territory is physically separate and noncontiguous with CTA’s service area in Dayton. CBT is wholly owned by Cincinnati Bell Inc. (CBI), a publicly traded Ohio corporation. Applicants state that no individual or entity owns 10 percent or more of the equity of CBI. Pursuant to the terms of the proposed transaction, CBET will acquire specific tangible and intangible assets, customer contracts, and network infrastructure of CTA in the Dayton, Ohio market. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(2)(ii) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.2 Domestic Section 214 Application Filed for the Transfer of Control of CenturyTel Acquisition LLC to Cincinnati Bell Extended Territories LLC, WC Docket No. 08-47 (filed Mar. 27, 2008). 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before April 22, 2008, and reply comments on or before April 29, 2008. Unless otherwise notified by the Commission, the Applicants may transfer control on the 31st day after the date of this notice.3 Comments must be filed electronically using (1) the Commission’s Electronic Comment Filing System (ECFS) or (2) the Federal Government’s e-Rulemaking Portal.
