Dear Ms. Victory:
As you know, the Commission’s consent to the merger of Cellco Partnership d//b/a 
Verizon Wireless (“Verizon Wireless”) with ALLTEL Corporation (“ALLTEL”) was 
conditioned upon the divestiture of certain assets.1 The divestiture process approved by the 
Commission provided Verizon Wireless with 120 days (“Management Period”) in which to 
divest the assets before being required to transfer such assets to a divestiture trustee.  The 
Commission’s order also delegated to the Wireless Telecommunications Bureau the authority to 
grant an extension of the divestiture period of up to 60 days.  The Management Period expires on 
May 9, 2009.  
On April 22, 2009, on behalf of Verizon Wireless, you filed a letter with the Commission 
requesting a blanket 60-day extension of the Management Period.2 You stated that the extension 
is needed to afford Verizon Wireless additional time to complete agreements to effect the 
required divestitures and to file the applications to transfer the licenses, authorizations, and 
leases associated with the divestiture assets.3 The Commission received one comment in support 
of your extension request.4
Consistent with the Commission’s order approving the merger between Verizon Wireless 
and ALLTEL and pursuant to your letter of April 22, 2009, the Wireless Telecommunications

Bureau hereby grants an extension of the divestiture period for up to 60 days.  We find that such 
action effectuates the Commission’s order approving the merger between Verizon Wireless and 
ALLTEL, and furthers the public interest.
