Midvale, an Idaho corporation, is a rural incumbent local exchange carrier (LEC) serving exchanges in Idaho, Arizona, and Oregon. It wholly owns M&L, an Idaho corporation, that provides rural incumbent LEC service to approximately 147 access lines in the Mt. Hull wire center in Washington. The following U.S. citizen and U.S. entity own Midvale: Mr. Lane Williams (50 percent) and the Estate of Shirley Archer (50 percent).2 Timberline, a Washington corporation, is a rural incumbent LEC serving approximately 27 access lines in the Silverton wire center in northwest Washington.3 The following U.S. citizens each own 20 percent of the equity of Timberline: Mrs. Marilyn May, Mrs. Deborah Bott, Mrs. Suzanne Wilson, Mrs. Pamela Smith, and Mrs. Catherine Hendrickson. Pursuant to the terms of the proposed transaction, Timberline 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. 2 On October 26, 2009, the Wireline Competition Bureau granted the application of Midvale to transfer control of the company, including M&L, from Mr. Williams and the Estate of Shirley Archer to the Midvale Telephone Exchange, Inc. Hull transaction described in the current application to close prior to the time that the Midvale ESOP is funded. 3 Applicants state that Midvale, M&L, and Timberline have no overlapping or adjacent service areas. They further state that, upon completion of the proposed transaction, Timberline may seek a waiver to combine its universal service study area in Washington. will acquire all of the stock of M&L from Midvale and thus M&L’s operations in the Mt. GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before November 16, 2009, and reply comments on or before November 23, 2009. Unless otherwise notified by the Commission, the Applicants may transfer control on the 31st day after the date of this notice.6 Comments must be filed electronically using (1) the Commission’s Electronic Comment Filing System (ECFS) or (2) the Federal Government’s e- Rulemaking Portal.
