(SinglePipe), ALEC, Inc. (ALEC), and Integrated Broadband Services, LLC (IBBS) (collectively, Applicants) filed an application pursuant to section 63.03 of the Commission’s rules to transfer control of ALEC to IBBS.1 SinglePipe, a Kentucky corporation that provides Voice over Internet Protocol (VoIP) services, wholly owns ALEC, which provides competitive telecommunications services in multiple states. SinglePipe is directly owned by Chrysalis Ventures III, L.P. (45.5 percent) and Meritus Ventures, L.P. (35.5 percent), both U.S. entities. IBBS, a Georgia limited liability company, provides software support and back office services for cable and broadband operators. Applicants state that IBBS does not offer telecommunications and is not affiliated with any telecommunications provider. Integrated Broadband Services Holdings, LLC (IBBS Holdings), a Delaware limited liability company, wholly owns IBBS. The following U.S.-based entities own at least 10 percent of IBBS Holdings: Pamlico Capital II, LP (Pamlico Capital) (54.24 percent), KPB Family GST Investment Trust c/o Pamlico Capital Fund (KPB) (12.55 percent).2 Wachovia Investors, Inc., a U.S. entity, holds a 45.10 percent indirect interest in IBBS through its 83.15 percent direct ownership in Pamlico Capital. Applicants state that there are no other persons or entities that hold a 10 percent or greater direct or indirect interest in ALEC or IBBS. Pursuant to the terms of the proposed transaction, IBBS will acquire 100 percent of the equity interest in SinglePipe while SinglePipe’s shareholders will receive membership interests in IBBS Holdings. As a result, SinglePipe will become a direct, wholly owned subsidiary of IBBS, and ALEC will remain a direct, wholly owned subsidiary of SinglePipe. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(1)(ii) of the 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicants filed a supplement to their application on June 22, 2010. 2 Applicants state that Robert F. Buckfelder, a U.S. citizen, holds a 7.85 percent interest in IBBS Holdings and an attributable 12.55 percent interest in IBBS Holdings held through KPB, plus an attributable 0.52 percent interest in IBBS Holdings held by his wife, Kathleen P. Buckfelder. GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before July 7, 2010, and reply comments on or before July 14, 2010. Unless otherwise notified by the Commission, the Applicants may transfer control on the 31st day after the date of this notice.4 Comments must be filed electronically using (1) the Commission’s Electronic Comment Filing System (ECFS) or (2) the Federal Government’s e-Rulemaking Portal.
