STREAMLINED PLEADING CYCLE ESTABLISHED WC Docket No. 10-135 Comments Due: July 26, 2010 Reply Comments Due: August 2, 2010 On June 30, 2010, Donald F. Novak (Mr. Novak) and Bonnie L. Simon (Ms. Simon) (collectively Applicants) filed an application pursuant to section 63.03 of the Commission’s rules to transfer control of Lonsdale Telephone Co., Inc. (Lonsdale) from Mr. Novak and Ms. Simon to Ms. Simon alone.1 Lonsdale, a Minnesota corporation, is an independent local exchange carrier that provides local exchange telephone and exchange access services in the Lonsdale exchange (approximately 1,600 access lines) in rural southeastern Minnesota.2 Mr. Novak and Ms. Simon, brother and sister and both U.S. citizens, are the current owners of Lonsdale. Both owners currently hold 212 shares (50 percent) of Lonsdale’s issued and outstanding Class A Voting common stock and 2,019.5 shares (50 percent) of Lonsdale’s issued and outstanding Class B Nonvoting common stock. Ms. Simon has no ownership or control of any provider of domestic telecommunications services other than Lonsdale and the Lonsdale affiliates. The proposed transaction will involve the sale of all of Mr. Novak’s Class A Voting common stock to Ms. Simon and the redemption by Lonsdale of all of Mr. Novak’s Class B Nonvoting stock. After consummation of the proposed transaction, Ms. Simon will own all 424 shares of Lonsdale’s issued and outstanding Class A Voting common stock and all 2,019.5 shares of Lonsdale’s issued and outstanding Class B Nonvoting common stock. Thus, the proposed transaction will result in Ms. Simon controlling Lonsdale. Applicants assert that the proposed transaction is entitled to presumptive 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicants have also filed an application for the transfer of control of Advanced Wireless Service Station WKGL810. On July 8, 2010, Applicants filed a supplement to their domestic 214 application. 2 Lonsdale is the general partner of LCDW Wireless Limited Partnership, the licensee of Advanced Wireless Service Station WKGL810 in the Minnesota 10 – LeSueur Rural Service Area. Lonsdale Video Ventures, LLC, an affiliate of Lonsdale, provides digital cable television services in and around Lonsdale, Minnesota. Lonsdale owns a 0.52662 percent member interest in Broadband Visions, LLC, a Minnesota limited liability company, which provides video program transport services in Minnesota. Lonsdale has no other subsidiaries or affiliates that offer domestic telecommunications services. streamlined treatment under section 63.03(b)(1)(ii) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.3 Domestic Section 214 Application Filed for the Transfer of Control of Lonsdale Telephone Co., Inc., WC Docket No. 10-135 (filed June 30, 2010). GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before July 26, 2010, and reply comments on or before August 2, 2010.
