(BSAI), Kenneth Batten, Larry Correia and James A. Holmquist as Trustee of the James A. Holmquist Revocable Trust (James Holmquist), (collectively, Applicants) filed an application pursuant to section 63.03 of the Commission’s rules to transfer control of BSAI from its current shareholders to James Holmquist.1 BSAI is authorized as a reseller of interexchange services in Indiana, Massachusetts, Michigan, New Jersey, New York, Ohio, Pennsylvania, Texas, Virginia and Wyoming. James Holmquist as Trustee of the James A. Holmquist Revocable Trust, under Agreement dated January 18, 2002, a U.S. citizen, is an individual that does not provide telecommunications service. After consummation of the proposed transaction, James Holmquist is the only person or entity that will own ten percent or more of the equity of BSAI. The Applicants have agreed to a proposed transaction whereby James Holmquist will acquire one hundred percent of the shares in the BSAI from Kenneth Batten and Larry Correia. The proposed transaction provides for the existing stockholders of BSAI to receive consideration in the form of cash. After regulatory approval, the shareholders will sell their interest to James Holmquist, and he will purchase such shares from the shareholders in exchange for the foregoing consideration. After consummation of the proposed transaction, BSAI will continue to operate and provide service. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(1)(ii) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.2 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicants also filed an application for transfer of control associated with authorizations for international services. GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies.
