(SKT or Applicant) filed an application pursuant to section 63.03 of the Commission’s rules to transfer control of SKT to two shareholders.1 SKT, a Kansas corporation, is a competitive local exchange carrier (LEC) serving approximately 1,200 access lines in Sedgwick, Sumner, Elk, Greenwood, Butler, and Chautauqua counties in south central and southeastern Kansas. SKT is currently owned by the following U.S. entities: Gregory L. Mikesell Revocable Trust (25 percent), Edwin A. Mikesell Revocable Trust (25 percent), Kendall S. Mikesell Revocable Trust (25 percent), and Elaine L. Webb Revocable Trust (25 percent).2 Pursuant to the terms of the proposed transaction, SKT plans to redeem outstanding shares, and, as a result, two remaining shareholders will each own 50 percent of the equity of company: the Kendall S. Mikesell Revocable Trust and Elaine L. Webb Revocable Trust. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(2)(ii) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.3 Domestic Section 214 Application Filed for the Transfer of Control of SKT, Inc., WC Docket No. 10-32 (filed Jan. 26, 2010). 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicant filed a supplement to its domestic section 214 application on February 17, 2010. 2 Applicant states that the owners of SKT also control the operations of The Southern Kansas Telephone Company, an incumbent LEC operating in Kansas that is not included in the proposed transaction. It states that the overall ownership structure of The Southern Kansas Telephone Company is different from SKT, and that the company plans a future stock redemption of shareholder interests and will make any required transfer of control filings associated with that transaction. The SKT owners are also affiliated with SKT Wireless, LLC, a reseller of wireless services in Kansas. 3 47 C.F.R. § 63.03(b)(2)(ii). GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before March 4, 2010, and reply comments on or before March 11, 2010. Unless otherwise notified by the Commission, the Applicants may transfer control on the 31st day after the date of this notice.4 Comments must be filed electronically using (1) the Commission’s Electronic Comment Filing System (ECFS) or (2) the Federal Government’s e-Rulemaking Portal.
