In this Order, we adopt a Consent Decree entered into between the Enforcement Bureau (the “Bureau”), STi Telecom Inc. (“STi”),1 and Progress International, LLC (“Progress”). The Consent Decree terminates an investigation by the Bureau against STi and Progress for possible violations of sections of the Communications Act of 1934, as amended (the “Act”) and the Commission’s Rules (the “Rules”) regarding a substantial transfer of control of international section 214 authority. Specifically, the Consent Decree terminates the Bureau’s investigation concerning section 214(a) of the Act2 and sections 63.18 and 63.24 of the Rules.3 2. A copy of the Consent Decree negotiated by the Bureau, STi, and Progress is attached hereto and incorporated by reference. 3. After reviewing the terms of the Consent Decree and evaluating the facts before us, we find that the public interest would be served by adopting the Consent Decree and terminating the investigation. 4. In the absence of material new evidence relating to this matter, we conclude that the Bureau’s investigation raises no substantial or material questions of fact as to whether STi and Progress 1 On June 29, 2011, Epana Networks, Inc. filed with the Secretary of State of the State of Delaware a certificate of amendment of its certificate of incorporation changing its name to STi Telecom, Inc. Accordingly, IT IS ORDERED that, pursuant to section 4(i) of the Act,4 and sections 0.111 and 0.311 of the Commission’s Rules,5 the Consent Decree attached to this Order IS ADOPTED. 6. IT IS FURTHER ORDERED that the above-captioned investigation IS TERMINATED. 7.
