(eKit) and Jersey Telecom (UK) Limited (Jersey UK) (together, Applicants) filed an application pursuant to section 63.03 of the Commission’s rules1 to request authority to transfer control of eKit to Jersey UK. eKit, a Delaware corporation, provides domestic, interstate services nationwide, including prepaid card services and other services for international travelers. Jersey UK, a holding company organized under the laws of the United Kingdom, does not currently provide any telecommunications services in the U.S. 2 Jersey UK is wholly owned by JT Group Limited, a holding company for the Government of the Bailiwick of Jersey that is part of the English Channel Islands. JT Group Limited is incorporated in the Bailiwick of Jersey. The States of Jersey in the Bailiwick of Jersey, also part of the government there, wholly own JT Group Limited. Jersey Telecom, Inc. (JTI), a Delaware corporation formed for purposes of this transaction, is a wholly owned subsidiary of Jersey UK and does not provide any telecommunications services in the U.S. Pursuant to the terms of the proposed transaction, Jersey UK will acquire 100 percent of the direct ownership interest in eKit through a merger of eKit with JTI. Upon consummation, JTI will be merged with and into eKit under Delaware law. JTI will cease to exist after the merger, and eKit will then be the surviving corporation and a wholly owned direct subsidiary of Jersey UK. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(2)(i) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.3 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicants also filed an application for transfer of control associated with authorizations for international services. GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before February 23, 2011, and reply comments on or before March 2, 2011. Unless otherwise notified by the Commission, the Applicants may transfer control on the 31st day after the date of this notice.4 Comments must be filed electronically using (1) the Commission’s Electronic Comment Filing System (ECFS) or (2) the Federal Government’s e-Rulemaking Portal.
