TO COM NET, INC. STREAMLINED PLEADING CYCLE ESTABLISHED WC Docket No. 11-51 Comments Due: April 5, 2011 Reply Comments Due: April 12, 2011 On March 2, 2011, Bright Long Distance, Ltd. (BLD) and Com Net, Inc. (Com Net) (collectively, Applicants) filed an application, pursuant to section 63.03 of the Commission’s rules,1 to request authority for the transfer of control of BLD2 to Com Net. BLD, an Ohio limited liability corporation, provides resale long distance services and has authority to provide statewide telecommunications service in Ohio. Com Net, an Ohio corporation, currently owns an 18.5 percent interest in BLD and does not provide telecommunications services.3 Com Net’s Chief Executive Officer and Managing Partner is Timothy Berelsman, a U.S. citizen. No person or entity owns a ten percent or greater interest in Com Net. The proposed transaction consists of the acquisition by Com Net, Inc. of the remaining (81.5 percent) equity interest in BLD owned by the other members of BLD. Immediately following the 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicants also filed an application for transfer of control associated with authorizations for international services. Any action on this domestic section 214 application is without prejudice to Commission action on other pending applications. Applicants filed a supplement to their application on March 17, 2011. 2 Consists of 22 members (all Ohio entities): The Arthur Mutual Telephone Company, The Ayersville Telephone Company, Bascom Long Distance, Inc., The Benton Ridge Telephone Company, The Buckland Telephone Company, Conneaut Telephone Company, Consolidated Electric Cooperative, Inc., Doylestown Telephone Company, The Farmer’s Mutual Telephone Company, The Fort Jennings Telephone Company, Glandorf Telephone Company, Inc., The Kalida Telephone Company, The McClure Telephone Company, The Middle Point Home Telephone Company, The New Knoxville Telephone Company, The Ottoville Mutual Telephone Company, The Ridgeville Telephone Company, The Sherwood Mutual Telephone Association, Inc., Sycamore Telephone Company, Telephone Service Company, The Vaughnsville Telephone Company, and Wabash Mutual Telephone Company (collectively, Transferors). The Transferors each currently have a 3.7 percent ownership interest in BLD. 3 Com Net has another domestic 214 application pending before the Commission. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(2)(i) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.4 Domestic Section 214 Application Filed for the Transfer of Control of Bright Long Distance, Ltd. to Com Net, Inc., WC Docket No. 11-51 (filed Mar. 2, 2011). GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before April 5, 2011, and reply comments on or before April 12, 2011. Unless otherwise notified by the Commission, the Applicants may transfer control on the 31st day after the date of this notice.5 Comments must be filed electronically using (1) the Commission’s Electronic Comment Filing System (ECFS) or (2) the Federal Government’s e-Rulemaking Portal.
