D/B/A LONG DISTANCE SAVINGS FROM THE ESTATE OF SCOTT LEE TO DEREK LEE, DARREN LEE, AND DALEN LEE STREAMLINED PLEADING CYCLE ESTABLISHED WC Docket No. 11-53 Comments Due: April 12, 2011 Reply Comments Due: April 19, 2011 On March 7, 2011, Protel Advantage, Inc. d/b/a Long Distance Savings (Protel), the Estate of Scott Lee (Transferor), and Derek Lee, Darren Lee, and Dalen Lee (Transferees) (collectively, Applicants) filed an application, pursuant to section 63.03 of the Commission’s rules1 to request authority for the transfer of control of Protel held in the Estate of Scott Lee to Transferees. Protel, a Minnesota corporation, resells interexchange services in Colorado, Idaho, Indiana, Iowa, Kentucky, Michigan, Montana, Nebraska, Nevada, New Jersey, New York, North Dakota, Pennsylvania, Texas, Virginia, and Washington. The Estate of Scott Lee currently holds 83.2 percent of the shares of Protel. The transferees, all U.S. citizens, each currently own two percent of Protel. Following consummation of the proposed transaction, the transferees will own 89.2 percent of Protel as follows: Derek Lee (29.7 percent), Darren Lee (29.7 percent), and Dalen Lee (29.7 percent). Applicants state that no other person or entity, either directly or indirectly, will own ten percent or more of the equity of Protel. They further state that the transferees do not have any interests in other telecommunications carriers. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(1)(ii) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.2 Domestic Section 214 Application Filed for the Transfer of Control of Protel Advantage, Inc. d/b/a Long Distance Savings from the Estate of Scott Lee to Derek Lee, Darren Lee, and Dalen Lee, WC Docket No. 11-53 (filed Mar. 7, 2011). 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. Any action on this domestic section 214 application is without prejudice to Commission action on other pending applications. The Commission reserves the right to return any transfer application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before April 12, 2011, and reply comments on or before April 19, 2011. Unless otherwise notified by the Commission, the Applicants may transfer control on the 31st day after the date of this notice.3 Comments must be filed electronically using (1) the Commission’s Electronic Comment Filing System (ECFS) or (2) the Federal Government’s e-Rulemaking Portal.
