Washington, D.C. 20554 News Media Information 202 / 418-0500 Internet: http://www.fcc.gov TTY: 1-888-835-5322 DA 16-936 August 17, 2016 INDEPENDENT COMPLIANCE OFFICER IDENTIFIED IN ACCORDANCE WITH CHARTER-TIME WARNER-BRIGHT HOUSE MERGER CONDITION WC Docket No. 16-197 On May 10, 2016, the Commission released its order approving the applications for the transfer of control of licenses and authorizations from Charter Communications, Inc., Time Warner Cable Inc., and Advance/Newhouse Partnership, the parent of Bright House Networks, LLC, to a new company, also named Charter Communications (Charter). 1 As part of its approval, the Commission imposed a number of conditions to ensure that the proposed transaction served the public interest, including, but not limited to, requiring Charter to offer broadband service at a discounted rate for low-income individuals, requiring Charter to expand its broadband network to two million new customer locations, and prohibiting Charter from imposing data caps or usage based billing on its customers. Section IX(3)(a) of Appendix B of the Order requires that, within 90 days of the closing date of the transaction, an Independent Compliance Officer be identified who will have the power and authority to review and evaluate Charter’s compliance with the Order, as described further in Appendix B. In accordance with Section IX(3)(a) of Appendix B of the Order, the Honorable Barbara S. Jones (ret.) has been identified as the Independent Compliance Officer. Judge Jones is a partner with the law firm Bracewell. She served for sixteen years as a judge on the U.S. District Court for the Southern District of New York. Before her nomination to the federal bench, she was an Assistant U.S. Attorney for the Southern District of New York. While in that role, she served as the chief of the Organized Crime Strike Force in Manhattan. She has also served as an adjunct law professor at Fordham Law School and New York University School of Law. Since her retirement from the bench, Judge Jones has acted as Monitor in a number of ongoing matters. Judge Jones was selected on August 16, 2016 as the Independent Compliance Officer by agreement between Charter and the Commission’s Office of General Counsel (in consultation with the Wireline Competition Bureau), who has approved the selection, as required by Section IX(3)(a) of Appendix B of the Order.
