2 DA 18-1285 December 20, 2018 DOMESTIC SECTION 214 APPLICATION FILED FOR THE TRANSFER OF CONTROL OF GREENWAY COMMUNICATIONS, LLC TO H3 MORTGAGE COMPANY D/B/A JASPER TELECOM STREAMLINED PLEADING CYCLE ESTABLISHED WC Docket No. 18-356 Comments Due: January 3, 2019 Reply Comments Due: January 10, 2019 By this Public Notice, the Wireline Competition Bureau seeks comment from interested parties on an application filed by Greenway Communications, LLC (Greenway) and H3 Mortgage Company d/b/a Jasper Telecom (Jasper Telecom) (collectively, the Applicants), pursuant to section 214 of the Communications Act of 1934, as amended, and sections 63.03-04 of the Commission’s rules, requesting consent to transfer control of Greenway to Jasper Telecom. See 47 U.S.C. § 214; 47 CFR §§ 63.03-04. Applicants also filed an application for the transfer of authorizations associated with international services. On December 14, 2018, Applicants filed a supplement to their domestic section 214 application. Any action on the domestic section 214 application is without prejudice to Commission action on other related, pending applications. Greenway, an Iowa limited liability company, is a competitive local exchange carrier (LEC) and a long distance toll reseller providing service on a statewide basis in Iowa. Jasper Telecom, a Texas corporation, does not provide telecommunications services itself but provides management and consulting resources to telecommunications companies. Jasper Telecom is wholly owned by Michael Hatfield, a U.S. citizen. Applicants state that neither Jasper Telecom nor Mr. Hatfield currently hold interests in any domestic telecommunications provider. Pursuant to the terms of the proposed transaction, Jasper Telecom will acquire all the equity interests of Greenway. Following the consummation of the transaction, Jasper Telecom will therefore wholly own Greenway, and Mr. Hatfield will indirectly wholly own Greenway. Applicants asserts the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(1)(ii) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity. 47 CFR § 63.03(b)(1)(ii).
