STREAMLINED PLEADING CYCLE ESTABLISHED WC Docket No. 18-211 Comments Due: July 25, 2018 Reply Comments Due: August 1, 2018 By this Public Notice, the Wireline Competition Bureau seeks comment from interested parties on an application filed by Mr. Shawn Matthews and 385 Inc. (collectively, Applicants), pursuant to section 214 of the Communications Act of 1934, as amended, and sections 63.03-04 of the Commission’s rules, requesting Commission approval to transfer control of PacOptic Networks, LLC (PacOptic) from Mr. Mathews to 385 Inc. See 47 U.S.C. § 214; 47 CFR §§ 63.03-04. Applicants also filed applications for the transfer of authorizations associated with international services. On July 10, 2018, Applicants filed a supplement to their domestic section 214 application. Any action on the domestic section 214 applications is without prejudice to Commission action on other related, pending applications. PacOptic, a Virginia limited liability company, provides competitive telephone exchange services and exchange access services in Colorado, Florida, Georgia, and Massachusetts. Mr. Matthews, a U.S. citizen, is currently the sole member and owner of PacOptic. 385 Inc., an Iowa corporation, is a holding company created for the purposes of the proposed transaction. 385 Inc. is wholly owned by Mr. Stevin Dahl, a U.S. citizen. Pursuant to the terms of the proposed transaction, 385 Inc. will acquire all the membership interests in PacOptic. After consummation of the proposed transaction, 385 Inc. will be the sole member and owner of PacOptic, and Mr. Dahl will have full control of its assets and operations. Applicants state that Mr. Dahl does not currently hold an interest in any other telecommunications provider. Applicants assert the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(1)(ii) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity. 47 CFR § 63.03(b)(1)(ii).
