These grants of authority are taken under section 0.261 of the Commission's rules, 47 CFR § 0.261. Petitions for reconsideration under section 1.106 or applications for review under section 1.115 of the Commission's rules, 47 CFR §§ 1.106, 1.115, may be filed within 30 days of the date of this public notice. These applications have been coordinated with the Department of State and other Executive Branch agencies pursuant to section 1.767(b) of the Commission's rules, 47 CFR § 1.767(b), and consistent with procedures established with the Department of State. This public notice serves as each cable landing licensee's Cable Landing License, or modification thereto, pursuant to the Cable Landing License Act and sections 1.767 and 1.768 of the Commission's rules. FROM: Deutsche Telekom AG TO: Deutsche Telekom AG On August 15, 2022, an application was filed for consent to the planned pro forma transfer of control of Sprint Communications Company L.P. (SCCLP). SCCLP is a licensee on cable systems that were licensed prior to March 15, 2002 and are not eligible for the post-closing notification procedures under section 1.767(g)(7) of the Commission's rules. 47 CFR § 1.767(g)(7). The cable systems are: (1) Americas-II, which connects Florida, Puerto Rico, the U.S. Virgin Islands, Martinique, Curacao, Trinidad, Venezuela, French Guiana, and Brazil (SCL-LIC-19980429-00019, SCL-MOD-20191202-00038); (2) Antillas-I, which connects Puerto Rico and the Dominican Republic (SCL-LIC-19951013-00002; SCL-STA-20220412-00014); and (3) Maya-1, which connects the United States, the Cayman Islands, Colombia, Costa Rica, Honduras, Mexico, and Panama (SCL-LIC-19990325-00006, SCL-MOD-20110928-00028). The Applicants filed supplements on August 25, 2022, August 30, 2022, and September 22, 2022. SCCLP is an indirect, wholly owned subsidiary of T-Mobile US, Inc. (T-Mobile), both U.S. entities. Deutsche Telekom AG (DT), a German entity, currently directly and indirectly owns approximately 48.3% of T-Mobile's shares in the aggregate. DT exercises de facto control of T-Mobile through proxy agreements which authorize DT to vote a majority of the shares of T-Mobile. The Applicants state that DT's shareholdings in T-Mobile will increase to 50% or more in the near future as the result of DT's purchase of additional shares of T-Mobile on the open market, DT's purchase of T-Mobile shares pursuant to options in existing agreements with other shareholders, T-Mobile's repurchase of company stock yielding an increase in DT's ownership share, or a combination of two or more of these. The Applicants thus request Commission approval for DT to acquire de jure control of the submarine cable landing licenses held by SCCLP when that increase in DT's shareholdings occurs. Specifically, DT has an indirect 42.95% interest in T-Mobile through its indirect wholly owned subsidiary, Deutsche Telekom Holding B.V. (DT Holding), a Netherlands entity. DT also holds a direct 5.3% interest in T-Mobile. The Applicants state that it is anticipated that DT's direct interest in T-Mobile will increase to more than 7.05%.
