ORDER AND AUTHORIZATION Adopted: October 22, 1996 Released: October 25, 1996 By the Chief, Telecommunications Division: 1. BLT Technologies, Inc. (BLT) and WorldCom, Inc. d/b/a LDDS WorldCom (WorldCom) , pursuant to Section 214 of the Communications Act of 1934, as amended, submitted the above- captioned application requesting authority to transfer control of BLT to WorldCom. The application was placed on public notice on August 27, 1996. No comments were received. 2. BLT, a Washington corporation, is a certified international communications carrier, authorized to provide switched resale services between the United States and various overseas points. 1 WorldCom, a Georgia corporation, is a worldwide telecommunications company that provides a full array of domestic and international voice and data services to business and residential customers. WorldCom provides both facilities- based and resale services. See Bottom Lime Telecommunications, Inc. File No. I-T- C-94-096. 14393 3. The proposed transfer will be accomplished by merging BLT into a new-formed subsidiary of WorldCom and, thereafter, dissolving the new-formed company to leave BLT as a wholly-owned subsidiary of WorldCom. The proposed transfer will enable WorldCom to aggregate customers, further stimulate demand, make more efficient use of facilities and compete more effectively in the relevant markets. 4. Upon consideration of the application and in view of the foregoing, we conclude that consent to transfer control of BLT to WorldCom will serve the public interest, convenience and necessity. 5. Accordingly, IT IS ORDERED that the application of BLT and WorldCom, File No. I-T-C-96-464 (TC) IS GRANTED, and the transfer of control of BLT to WorldCom is authorized. 6. IT IS FURTHER ORDERED that all terms and conditions of any Commission orders granting authority to BLT to provide common carrier services remain in effect. 7. This Order is issued under Section 0.261 of the Commission's Rules and is effective upon adoption. Petitions for reconsideration under Section 1.106 or applications for review under Section 1.115 of the Commission's Rules may be filed within 30 days of the date of public notice of this Order (see Section (2)).
