Texas Utilities Company (TU), pursuant to Section 214 of the Communications Act of 1934, as amended, submitted the above-captioned application requesting aumority to transfer control of LCT Long Distance, Inc. (LCT) from Lufkin-Conroe Communications Co. (Lufkin-Conroe) to TU. The application was placed on public notice on September 24, 1997. No comments were received. 2. LCT is authorized to provide resold communications between the United States and overseas points. 1 Neither Lufkin-Conroe nor TU has been granted authority pursuant to Section 214. Pursuant to a merger agreement between TU and Lufkin-Conroe, a wholly-owned subsidiary of TU will be merged with and into Lufkin-Conroe and then will cease to exist. Lufkin-Conroe will continue to exist as a wholly-owned subsidiary of TU. Thus, LTC will become a wholly-owned subsidiary of TU. 3. Upon consideration of the application and in view of the foregoing, we conclude that consent to transfer control of LCT from Lufkin-Conroe to TU will serve the public interest, convenience and necessity. 4. Accordingly, IT IS ORDERED mat the application of TU, File No. ITC-97-560- TC IS GRANTED, and the transfer of control of LCT from Lufkin-Conroe to TU is authorized. 5. IT IS FURTHER ORDERED that all terms and conditions of any Commission orders granting authority to LCT to provide common carrier services remain in effect. File No. ITC-92-050.
