S. C. § 310( b)( 4), that it is in the public interest to permit certain indirect foreign ownership of AmericaSky's earth station licenses. Petitioner, a U. S. corporation, maintains and operates three earth station facilities licensed by the Commission for domestic and international satellite service. Petitioner uses its earth stations to provide satellite earth station capacity for international traffic of other Commission- authorized carriers. Petitioner requests that the Commission grant its section 310( b)( 4) waiver request and find that it is in the public interest for Pirelli S. p. A. 's (Pirelli) to hold an indirect, and potentially controlling ownership interest in AmericaSky and for Edizione Holding S. p. A. (Edizione), to hold a an indirect non- controlling ownership interest in AmericaSky. Pirelli, is a corporation organized under the laws of the Republic of Italy. Approximately 27.53% of Pirelli's share capital is held by Pirelli & C. Lux. S. A., a company incorporated in Luxembourg (Pirelli- Lux). Pirelli owns all of the share capital of Pirelli- Lux & C. A. p. A., a publicly traded limited partnership organized under the laws of the Republic of Italy (Pirelli & C). Pirelli & C directly owns approximately 8.96% of Pirelli's share capital. Pirelli & C's direct and indirect ownership of Pirelli's share capital totals 36.49%. Camfin S. p. A. holds 25.15% of the total number or outstanding ordinary shares of Pirelli & C. Camfin S. p.
