This application is filed in connection with a non- binding agreement in principle between ATTC's indirect parent, AT& T Canada Inc., and an informal committee of bondholders. Currently, Brascan Corporation indirectly holds 50 percent of the Class A voting shares of AT& T Canada Inc. Applicants state that, upon consummation of the agreement, AT& T Canada Inc. bondholders (and certain other creditors) will exchange their debt (and claims) in AT& T Canada Inc. for cash and equity shares in a newly formed company, New PublicCo. Under the agreement, the entire current equity in AT& T Canada Inc. will be cancelled, and new shares will be issued to New PublicCo.
