Pan American held nine of ten authorized shares of Swiftcall Holdings (USA) Ltd, the parent of VIP Communications, and VIP (Holdings) held the other share. On September 26, 2008, without prior Commission approval, Pan American sold to VIP Holdings its nine shares in Swiftcall Holdings.
