The above-captioned hearing proceeding was initiated by the FCC’s Media Bureau on February 24, 2023, to consider issues raised by applications that seek consent to transfer control of FCC licenses held by TEGNA, Inc. to SGCI Holdings III, LLC (SGCI), as well as related transactions.1 An initial status conference was held at FCC Headquarters in the above-captioned matter on April 26, 2023, after which the Presiding Judge ordered that the proceeding be held in abeyance until further notice.2 The Presiding Judge took this action due to representations that the underlying transactions would likely not survive beyond May 22, 2023, which provided insufficient time to conduct a hearing. SGCI/Community News Media filed its status report on May 24, 2023. TEGNA and CMG Media/Teton Parent Corp. filed their status reports on May 25, 2023.4 All three status reports affirm that the merger agreement underlying the transactions that are the subject of this proceeding was terminated on May 22, 2023. Further, TEGNA and CMG Media/Teton Parent Corp. each withdraw their Notice of Appearance filed in this proceeding and state that they will no longer participate in the hearing as a party.5 SGCI/Community News Media indicates its willingness to continue participating in the hearing.6 3. The TEGNA/SGCI HDO tasked the Presiding Judge with determining whether the proposed transactions would lead to an increase in retransmission consent fees and would adversely affect local content and programming in light of, inter alia, SGCI’s plans for station-level staff and investment.7 Because the merger arrangement has been dissolved and the underlying FCC applications are being withdrawn to the extent technically possible,8 the issues designated for hearing are moot. It is not in the public interest to expend the time and resources to continue this hearing as an academic exercise. This proceeding is therefore terminated. 4.
